Resource limits with Chat & Video conversion

I know the general TOS clause 13 about no > 25% CPU usage for over 90 seconds. I'm working on a media gallery project and would like to know what's permitted when it comes to converting uploaded videos to FLV or somesuch. How is the 25% counted — can a script run for longer if it keeps at 20% for example? (And I wonder how one would accomplish that.)

Chat client limitations seem to apply to shared and reseller accounts only, and VPS can run pretty much anything but IRC as long as resource usage stays within the limits. Is this correct?
 
As long as you don't use over 25% of the entire servers CPU for over 90 seconds we won't be contacting you about your CPU usage.

The Chat Limitation is for shared/reseller only as you mentioned.
